1. Agreement
These terms form a contract between you and [TODO: LEGAL ENTITY NAME], registered at
[TODO: REGISTERED ADDRESS]. By creating an account or using AidenSEO you accept them. If you are
accepting on behalf of a company, you confirm that you are allowed to bind it.
2. The service
AidenSEO is a software as a service platform for search engine optimisation: it crawls the sites you add, reads the analytics data you connect, and produces recommendations, briefs and reports. We improve the service continuously, and we may add, change or remove features. We will not remove a feature that is material to a paid plan without notifying you at least 30 days in advance.
3. Your account
You are responsible for the accuracy of your account details, for keeping your credentials secret, and for everything that happens under your account. Tell us immediately if you suspect unauthorised access. Accounts are for named individuals, and members may not share one login.
4. Acceptable use
You agree not to use AidenSEO to crawl a site you do not own or are not authorised to analyse, to overload our infrastructure or that of a third party, to reverse engineer the service, to resell it without a written agreement, or to publish content that is unlawful, defamatory or infringing.
We may suspend an account that puts the service or other customers at risk, and we will tell you why.
5. Plans, billing and trials
Paid plans are billed in advance, monthly or annually, through our payment processor. Per member plans are billed on the number of members with edit access at the start of the period, and adding a member mid period is prorated to the day.
Trials last for the period announced at sign up and require no payment method. At the end of a trial your workspace moves to the free plan unless you have chosen a paid plan.
You may cancel at any time. Cancellation takes effect at the end of the current period and we do not refund the period already started, except where the law requires it. Prices may change with at least 30 days notice, never during a period you already paid for.
6. Your content and your data
You keep every right in the content and data you bring to AidenSEO. You grant us the limited licence we need to host, process and display it in order to provide the service. We do not use your content to train models offered to other customers.
You can export your data at any time and delete your workspace, which removes the data on the schedule described in the privacy policy.
7. Our intellectual property
The service, its interface, its documentation and its underlying software remain ours. These terms grant you a non exclusive, non transferable right to use the service while your plan is active, and nothing more.
8. Availability and support
We aim for high availability but the service is provided on an "as is" and "as available" basis, without a service level commitment unless one is written into an enterprise agreement. Planned maintenance is announced in advance whenever possible.
9. Liability
To the maximum extent permitted by law, our total liability arising out of these terms is limited to the amount you paid us in the 12 months preceding the event, and we are not liable for indirect losses, including lost profit, lost revenue or lost search rankings. Nothing here limits liability that cannot be limited by law.
10. Termination
Either party may terminate at any time. We may terminate immediately for a serious breach of section 4. On termination your right to use the service stops and your data follows the retention schedule in the privacy policy.
11. Governing law
These terms are governed by [TODO: GOVERNING LAW], and any dispute falls under the exclusive
jurisdiction of [TODO: COMPETENT COURTS], without prejudice to the mandatory protections available to
consumers in their country of residence.
12. Changes
We may update these terms. Material changes are announced at least 30 days in advance by email or in the application, and continuing to use the service after they take effect means you accept them.
